Sara advises limited partnerships, LLCs and statutory trusts on matters of Delaware law. 

She counsels private equity and VC funds, registered investment companies and other private and public companies on strategic transactions, including fund raising and financing, acquisitions, sales and reorganizations.  Her clients include global investment firms, multi-national companies, growth-stage companies and start-ups.

Sara advises on fund formation, equity and debt financings (including net asset value (NAV), subscription secured and hybrid facilities) and complex governance matters.  She also provides Delaware-specific guidance for registered investment companies, advising open-end, closed-end and exchange-traded investment companies on share and rights offerings, best practices for governing documents and board fiduciary duties and governance.

She frequently collaborates with Am Law 100 firms and large international firms, including on cross-border deals.

Sara delivers third-party legal opinions in a variety of transactions, including in the formation and offerings of private equity funds and registered investment companies, debt financings, tax equity deals and cross-border transactions.

Sara contributes to publications in the private equity and M&A space, including two Wolters Kluwer treatises: Levin and Rocap’s Structuring Venture Capital, Private Equity and Entrepreneurial Transactions and Ginsburg, Levin, Rocap’s Mergers, Acquisitions, and Buyouts Transactional Analysis.  She is the immediate past Chairperson of the Delaware State Bar Association (DSBA) Commercial Law Section, which is responsible for proposing legislation involving Delaware statutory trusts, the Uniform Commercial Code (UCC), and banking. She also serves on the Firm’s Recruiting and Diversity Committees and has mentored with Big Brothers Big Sisters of Delaware.

Sara has been recognized in The Legal 500 for her M&A commercial Delaware counsel work and in Best Lawyers: Ones to Watch for her work in private equity law. In 2024, The Legal Intelligencer Legal Awards named Sara one of the “Lawyers on the Fast Track” in the Pennsylvania/Delaware region, recognizing lawyers under the age of 40. In 2022, Sara was selected as one of the Delaware Business Times “40 Under 40” recognizing the region’s dynamic leaders under age 40.
