Morris Nichols Promotes Two Commercial & Alternative Entities Attorneys
Morris Nichols is pleased to announce that Melanie Young has been invited to join the firm partnership, effective January 1, 2026, and that Kelly Miranda will be promoted to special counsel.

Both attorneys are members of Morris Nichols’ commercial counseling group, focusing on alternative entities and transactional work. “Melanie and Kelly are both very talented lawyers with deep knowledge of Delaware’s alternative entity statutes and extensive experience in Delaware’s commercial practice,” said Louis G. Melanie H. Young focuses on partnership, limited liability company and statutory trust law. Her work with alternative entities and commercial transactions often involves private investment funds, including fund formation, portfolio company transactions, financing transactions, fund dissolution and winding up.
She has been included in Best Lawyers: Ones to Watch for business organizations (including LLCs and partnerships).
Melanie joined Morris Nichols in 2017. She graduated cum laude from University of Pennsylvania Law School in 2017, where she served on the editorial board of the University of Pennsylvania Journal of Business Law. Melanie earned her BBA in international business, summa cum laude, from the George Washington University in 2014.
Kelly Miranda frequently works on financing matters, including transactions involving alternative entities as well as bankruptcy-related transactions. Her commercial law experience includes private investment fund formation, dissolution, and internal governance.
Kelly joined Morris Nichols in 2018, after earning her JD from the Pennsylvania State University, Penn State Law. While in law school, she was a member of the National Veterans Law Moot Court Competition. She graduated with a BA in English and criminology from the Pennsylvania State University in 2015.
