Midyear Look at Top Delaware Cases to Watch in 2022

Morris Nichols corporate litigation partner John DiTomo spoke with Law360 regarding Delaware cases to watch in the second half of 2022. 

One case on the horizon that private equity firms will be watching is Manti Holdings v. The Carlyle Group. John explained the case concerns timing of a sale, and explores the idea “that if you have a desire to exit an investment at a particular time, that could create a unique benefit.” He added, “You could put yourself in an entire fairness realm.”

John also mentioned Goldstein v. Denner as one to watch. “The court is showing an increasing willingness to be nuanced in analyzing stockholder incentives,” he said.
