This prestigious award was presented to Lou at the 2025 LLC Institute in Washington, DC on October 23, 2025.
“I’m thrilled to congratulate Lou on receiving this well-deserved honor, which recognizes a nationally-regarded attorney who has consistently demonstrated leadership, scholarship and service in business entity law,” said Bill Lafferty, chair of the firm’s executive committee. “Throughout his more than 35 years of practice, Lou has demonstrated an exceptional dedication to advancing this field of law.”
Lou has been an active member of the ABA’s Committee on LLCs, Partnerships and Unincorporated Entities for more than 30 years and is a former co-chair of its LLC subcommittee and Single Member LLC Agreement drafting project. The Martin I. Lubaroff Award honors a nationally-recognized business attorney and active member of the LLCs, Partnerships and Unincorporated Entities Committee who exemplifies leadership, scholarship, and exceptional service in the field of business entity law. The award commemorates the legacy of Marty Lubaroff, a respected Delaware attorney whose influential work advanced the study and practice of partnerships and unincorporated entities and left a lasting impact on the legal community.
Lou’s practice focuses on the organization and structuring of all forms of Delaware alternative entities. He works with private equity, hedge, and mutual funds in connection with their formation and operation. His experience includes mergers and acquisitions, with an emphasis on structures involving alternative entities, and the delivery of third-party legal opinions in connection with the full spectrum of Delaware contracts.
“Lou’s impact on the field of alternative entities in Delaware and nationally has been enormous. The number of practitioners that rely upon Lou as a resource spans the entire country,” reflected commercial counseling partner Tarik Haskins. “His scholarship, combined with his mentorship of countless lawyers in this field, exemplify the standards of the Lubaroff Award.”
A leader in Delaware, Lou serves as a member and past chair of the Delaware State Bar Association (DSBA)’s Partnership and Limited Liability Company Committee. He is also the current chair of the DSBA Statutory Trust Committee, which is responsible for reviewing and updating Delaware’s statutory trust act. He has been ranked as a leading Delaware alternative entities lawyer in Chambers USA for nearly two decades.
