Morris Nichols successfully defended a co-founder in an expedited corporate control dispute before the Delaware Court of Chancery. The case centered on the enforceability of a voting agreement and involved issues of contract formation, enforcement, and interpretation. In a ruling issued on October 31, 2025, Vice Chancellor Fioravanti rejected a series of challenges to the agreement and upheld the voting agreement as valid and enforceable.
