PLI’s Mergers & Acquisitions 2021: Advanced Trends and Developments

The Practising Law Institute will hold its annual two-day conference on mergers and acquisitions live via webcast from January 21 to 22, 2021.

Morris Nichols partner Patricia Vella serves as a conference co-chair and Melissa DiVincenzo will also offer Delaware perspective as program faculty.

On January 21, Tricia will moderate the session “Practicum on Difficult M&A Issues Part 1” which will discuss choosing the right sales process: exclusivity/ auction/ pre-signing full or partial market check; creating a record to support board or special committee decisions; aggressive projections; and longitudinal changes in projections.

On January 22, Melissa serves as a co-panelist in the session “Negotiating M&A Agreements - Takeaways from Covid-19.” Speakers including The Hon. Kathaleen St. J. McCormick will explore the definition of MAE; interim operating covenants; outside date; and interrelationship with equity commitment letter.
