Delaware’s landmark 1899 incorporation law has become a virtual proxy for a national statute. In 1967, partner S. Samuel Arsht chaired a committee that revised and updated the entire Delaware General Corporation Code, which sustained Delaware’s historic prominence in the field of corporate law and jurisprudence. Over the years, Delaware’s General Assembly and judiciary continued to revise and apply the statute to fit changing conditions. Today, the firm’s lawyers still play key roles in the drafting and updating of the Delaware General Corporation Law.
