Morris Nichols Successfully Defends Sotera Health in Chancery Vesting Dispute
Morris Nichols, serving as lead counsel, prevailed for lab testing and industrial sterilization company Sotera Health Inc. in a high-stakes dispute against a former executive concerning the vesting of his equity.
On March 26, 2026, the Delaware Court of Chancery ruled in favor of Sotera on all counts. The court held that the plaintiff failed to prove breach of contract or breach of the implied covenant of good faith and fair dealing.
Morris Nichols partner John DiTomo led the team defending the company, with partner Lauren Neal second chair, and associate Jialu Zou.
