Morris Nichols Participates in Taiwan Corporate Governance Association’s 2015 International Summit on Corporate Governance
Wilmington, DE (November 16, 2015) - In early November, the Taiwan Corporate Governance Association hosted the 11th Annual International Corporate Governance Summit, a two-day event in Taipei focused on strengthening internal and external corporate governance mechanisms. Members of the Delaware corporate governance community played prominent roles in the conference, with Morris Nichols partner John P. DiTomo presenting the keynote address and Delaware Supreme Court Justice Randy Holland invited as a guest of honor and delivering several speeches addressing emerging issues of Delaware law.
DiTomo’s address, “Selected Principles for an Efficient Regulation of the Internal Affairs of Corporations - A Delaware Example,” provided a synopsis of key features of Delaware’s court system and Delaware corporation law that have worked to make Delaware an efficient regulator of the internal affairs of U.S. corporations. In his speech, DiTomo compared those aspects of Delaware’s regulation of corporate internal affairs that might work well in a civil law country such as Taiwan. He also contrasted aspects of Delaware’s regulation that may not translate well, given certain fundamental differences between Delaware’s and Taiwan’s legal systems.
While in Taiwan, John also accompanied Justice Holland on a visit to the Taiwan Academy for the Judiciary, Ministry of Justice where they spoke with a group of Taiwanese judges on various aspects of Delaware law.
Over the last several years, Justice Holland has worked closely with the Taiwanese government on the creation of a separate “business court” with the vision that it would have defined jurisdiction to hear and resolve commercial disputes, much like Delaware’s Court of Chancery and the Delaware Superior Court’s Complex Commercial Division. To support this initiative, Morris Nichols has partnered with the Taiwan Corporate Governance Association to develop an international corporate law database that will serve as a resource for judges assigned to Taiwan’s new business court.
