PLI Going Private 2012: Doing the Deal Right

Jeffrey Wolters, Morris Nichols Corporate Law Counseling Group partner, served as a faculty speaker for the program entitled “Legal Framework for Going Private Transaction” at the Practising Law Institute (PLI) Going Private 2012: Doing the Deal Right Seminar in New York City, February 23, 2012. The seminar was simulcast live online.

Jeff’s panel discussed the applicable standard of review and relevant case law for going private transactions. He was joined on the panel by William T. Allen and Trevor S. Norwitz from Wachtell, Lipton, Rosen & Katz, and William J. Haubert from Richards Layton & Finger PA. Jeff’s practice often involves counseling strategic and financial investors, boards of directors and board committees, including special committees appointed to negotiate mergers or other significant transactions such as those in which directors or large stockholders have an interest.
