4th Annual Western M&A Forum

11.06.2013
Santa Clara, CA

Andrew Johnston, Morris Nichols Corporate Law Counseling Group partner, will serve as a member of the Forum Faculty and speak on the panel Strategic M&A Involving Public Companies at the 4th Annual Western M&A Forum in Santa Clara, California, on November 6, 2013.

The panel will address how public/public deal process and terms are driven and constrained by the Revlon market check mandate, the target’s insistence on deal certainty (and possibly a reverse regulatory termination fee), the increased risk of regulatory intervention, the near certainty of a M&A strike suit and the possibility of derivative litigation, and increased shareholder (and proxy advisor) activism.

Topics to be covered include:

  • Managing Wall Street, board, stockholders
  • Interfacing with ISS and other institutional proxy advisors
  • Recent case law developments
  • Reverse termination fees and antitrust efforts provisions
  • Decline in hostile and contested bids
  • Re-emergence of PE deals (Dell)

Joining Andy on the panel are Eric T. McCrath, Morrison & Foerster LLP; Andrew J. McLeod, Blake, Cassels & Graydon LLP; and Gregory E. Wolski, Fraud Investigation & Dispute, Ernst & Young LLP

The Western M&A Conference is the premier West Coast event for M&A professionals to gather and discuss critical issues in the M&A landscape as well as trends and developments heading into 2014.
